Terms of Service

1. About These Terms

These Terms of Service (the "Terms") govern your use of the NOETA service operated by:

By creating an account, paying for our consultancy service, or using any part of the NOETA service, you agree to these Terms. If you are entering into these Terms on behalf of a company, you confirm that you are authorised to do so and that the company will be bound.

These Terms apply to business customers operating in the UK construction sector. They should be read alongside our Privacy Policy, which describes how we handle your personal data.

2. The Service

NOETA is a compliance facilitation service. We provide UK construction businesses with an end-to-end facilitation service to help them prepare and submit applications to recognised accreditation schemes — currently CHAS Standard, with additional schemes added over time.

2.1 What we do

  • Collect your company profile and existing health-and-safety evidence through a structured intake and document upload process
  • Analyse your evidence against the SSIP Core Criteria and produce a readiness gap report
  • Prepare draft documents (policies, risk assessments, method statements, COSHH assessments and related items) to fill any gaps in your evidence pack
  • Assemble a submission-ready accreditation pack
  • Submit your application to CHAS on your behalf using the portal credentials you provide, and respond to any CHAS assessor feedback on your behalf

2.2 What we are not

NOETA is not CHAS, SSIP, or any other accreditation body. We do not grant, issue, or approve accreditations. CHAS and other schemes make their own independent assessment decisions, and we have no authority over their outcomes. We are a preparation and facilitation service.

3. Pricing and Payment

3.1 Fees

Current published prices apply at the time of purchase. Indicative prices at the date these Terms were last updated:

  • CHAS Standard accreditation: £349
  • CHAS Standard + SafeContractor (dual scheme): £449

All prices are in pounds sterling and inclusive of any applicable VAT. We will display the total payable price before you confirm your purchase.

3.2 Payment

Payment is taken at the point of purchase via our payment processor, Stripe Payments Europe Ltd. We do not handle, store, or have direct access to your payment card details. Card processing is governed by Stripe's own terms.

3.3 Timing of work

Once you have paid and completed the intake and document upload steps, we will begin preparing your pack. Typical end-to-end preparation time is a few business days from intake completion to submission, depending on the completeness of the information you provide. Specific deadlines may be agreed in writing for an additional fee.

4. Refund Guarantee

4.1 The promise

We stand behind our service with a simple promise: if we cannot get you accredited under the scheme you engaged us for, we will refund our consultancy fee in full. For clarity, our consultancy fee is the fee paid to NOETA for the facilitation service. It does not include any registration, membership, or assessment fees paid directly to CHAS or any other accreditation body — those fees are paid by you directly to the relevant scheme and are outside the scope of this refund.

4.2 When the refund applies

The refund is triggered when all of the following are true:

  • You have completed the intake and supplied the documents and information we have asked for, including any items requested during the CHAS resubmission process
  • We have submitted your application to the relevant scheme on your behalf
  • The scheme has issued a final decision declining accreditation after we have exhausted available resubmission cycles for your application
  • The failure is not attributable to a cause set out in section 4.3 below

When triggered, we will refund the full amount you paid for the scheme's accreditation within 14 days, to the original payment method.

4.3 When the refund does not apply

The refund does not apply where the accreditation failure is materially caused by:

  • Inaccurate, incomplete, or misleading information provided by you in the intake or supporting documents
  • Your failure to respond within a reasonable time to a written request from NOETA for information, documents, signatures, or actions required to progress the application
  • Disqualifying factors outside the scope of evidence preparation — for example, an active HSE enforcement notice, an unresolved RIDDOR-reportable incident, or insurance cover below the scheme's minimum requirements that you decline to remedy
  • A change in scheme criteria or assessor decisions made outside the resubmission window for your application
  • Your withdrawal of the application before a final decision is issued

If we believe the refund does not apply, we will explain why in writing and, where possible, propose a path forward. You may dispute that decision through the channel set out in section 13.

4.4 Resubmission

Where the scheme returns comments or a conditional decision rather than a final acceptance, we will address those comments and resubmit on your behalf at no additional charge. Each accreditation purchase includes up to three resubmission cycles. Most applications resolve within the first cycle.

5. Submission on Your Behalf

As part of the service, NOETA handles the full submission process on your behalf. To do so, you are required to provide your CHAS Veriforce portal credentials through the application portal. By providing your credentials:

  • You provide your CHAS Veriforce portal username and password through the application portal
  • You authorise NOETA to use those credentials solely to (a) upload your prepared pack, (b) respond to scheme queries within the resubmission cycle, and (c) retrieve the issued accreditation certificate
  • You confirm you are authorised to grant this access on behalf of your company
  • Your password is encrypted at rest as described in our Privacy Policy and is never used for any purpose outside this contract
  • You may revoke this authority at any time by deleting your stored credentials in the portal or by emailing contact@noeta.uk; doing so during an active submission window may delay your application

6. Your Obligations

To enable us to deliver the service, you agree to:

  • Provide accurate, current, and complete information during intake and on request
  • Upload genuine documents that reflect your actual health-and-safety arrangements
  • Respond to written requests from us for information, signatures, or clarifications within a reasonable time (typically five business days)
  • Disclose any active HSE enforcement action, ongoing investigation, or recent RIDDOR incident that may affect the scheme's assessment
  • Hold valid Employers' Liability and Public Liability insurance at or above the scheme's minimum requirements throughout the assessment period
  • Not use the platform to submit applications on behalf of any company you do not represent

7. NOETA's Obligations

We agree to:

  • Apply professional care and skill in preparing your accreditation pack
  • Use up-to-date scheme criteria and current UK health-and-safety regulatory references
  • Keep your documents and personal data secure as described in our Privacy Policy
  • Handle CHAS portal credentials only for the purposes set out in section 5
  • Communicate promptly and clearly about the status of your application
  • Honour the refund guarantee in section 4 where its conditions are met

Accreditation decisions are made independently by the scheme. We back our facilitation service with a full refund of our consultancy fee if accreditation is not achieved — see section 4 for the conditions that apply.

8. Intellectual Property

8.1 What NOETA owns

NOETA owns the platform, software, document templates, analysis methodology, prompts, and all other materials used to operate the service. Nothing in these Terms transfers ownership of these to you.

8.2 What you own

You own the documents you upload and the personal data you provide. You retain ownership of the final accreditation certificate issued in your name by the scheme.

8.3 Licences granted

You grant NOETA a non-exclusive licence to use your documents and information solely to deliver the service to you, including the right to transmit them to our sub-processors as described in the Privacy Policy.

For documents we prepare for you (policies, risk assessments, method statements, COSHH assessments, and similar), on full payment we grant you a perpetual, royalty-free licence to use them for your company's own health-and-safety operations and accreditation submissions. You may not resell or distribute these documents as a template product.

9. Acceptable Use

You agree not to:

  • Attempt to gain unauthorised access to any account, server, or system
  • Reverse-engineer, decompile, or attempt to extract the source of the platform other than as permitted by law
  • Use automated means to scrape or copy content from the platform
  • Submit content that is unlawful, defamatory, infringing, or designed to disrupt the service
  • Use the service to prepare submissions for any company you do not represent, or for any purpose other than the company's own accreditation
  • Misuse another user's account or personate another individual or company

10. Limitation of Liability

Nothing in these Terms limits or excludes liability where it would be unlawful to do so under English law, including for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited by law.

Subject to the paragraph above:

  • NOETA's total aggregate liability to you arising out of or in connection with the service is limited to the total fees you have paid to NOETA in the twelve months preceding the event giving rise to the claim
  • NOETA is not liable for any indirect, incidental, or consequential losses, including loss of profit, loss of contracts, loss of business opportunity, or loss of goodwill
  • NOETA is not liable for losses arising from circumstances outside our reasonable control, including scheme decisions, changes in scheme criteria, or third-party service outages affecting submission

The refund mechanism in section 4 is the agreed primary remedy for non-accreditation and is not subject to the cap above for that specific case — a triggered refund is for the full consultancy fee paid to NOETA in question.

11. Cancellation and Termination

11.1 Cancellation by you

You may cancel an accreditation purchase at any time before we have submitted your application to the scheme. If you cancel before submission, you receive a full refund.

Once we have submitted your application to the scheme, the refund mechanism in section 4 applies instead — cancellation alone does not entitle you to a refund after submission, because the work has been done and the scheme is processing your application.

11.2 Termination by NOETA

We may suspend or terminate your access where:

  • You breach these Terms in a material way and (where the breach is capable of remedy) fail to remedy it within 14 days of being notified in writing
  • We have reasonable grounds to suspect you have provided false or misleading information
  • You misuse the service in a way that interferes with other users or our infrastructure
  • We are required to do so by law or regulator

Where we terminate for material breach by you, no refund is due. Where we terminate for any other reason, the refund mechanism in section 4 applies as if the accreditation were unsuccessful.

11.3 Effect of termination

Termination does not affect any rights or remedies already accrued, and provisions intended to survive (including intellectual property, limitation of liability, and governing law) remain in force.

12. Changes to These Terms

We may update these Terms when our service, pricing, or legal obligations change. Material changes will be communicated to registered users by email at least 14 days before they take effect. For active accreditation purchases in progress, the Terms in force at the time of your purchase will continue to apply through to completion of that accreditation cycle.

The most recent version of these Terms is always published at noeta.uk/terms with the date of last update.

13. Governing Law and Disputes

These Terms and any dispute or claim arising out of or in connection with them or their subject matter are governed by the laws of England and Wales.

The courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim.

Before bringing a formal claim, please contact us at contact@noeta.uk so we can try to resolve the issue directly. We will respond within five business days and aim to reach a resolution within 30 days where possible.
